Terms of Service

These Terms of Service ("Terms") govern access to and use of websites, software products, platforms and related services provided by INIQAI SPHERE (OPC) PRIVATE LIMITED, operating under the brand INIQAI ("INIQAI", "we", "us" or "our").

By accessing our website, creating or using an account, or using an INIQAI product or service, you agree to these Terms and any additional written agreement applicable to that product or service.

1. Products and Services

INIQAI develops technology for the real-estate industry. Our products and services may include:

• INIQ RealOS, a developer operating platform supporting sales and related real-estate workflows.
• INIQ SalesOS, a mobile workspace supporting authorized field-sales workflows.
• INIQ Partner App and INIQ Home, where made available as part of the supported product environment.
• INIQ Knowledge, a governed property knowledge platform currently under implementation.
• KeyWay, an AI-assisted property decision experience currently under implementation.
• Related onboarding, configuration, migration, training, integration, support and implementation services.

Features described as planned, upcoming, experimental, pilot, beta or under implementation are not commitments that those features are currently available or will be released on a particular date.

2. Additional Commercial Agreements

Certain INIQAI products or services may be provided under a proposal, order form, subscription agreement, implementation agreement, statement of work or other written commercial agreement.

Where such an agreement contains terms that differ from these Terms, the specific written agreement will govern those matters for the relevant customer and service.

3. Accounts and Authorized Users

Some services require an account. You are responsible for:

• Providing accurate and current account information.
• Keeping passwords, authentication credentials and access methods secure.
• Ensuring users accessing a business account are properly authorized by the relevant organization.
• Informing us promptly if you become aware of unauthorized access or misuse.

Access to one organization, project, workspace or service does not automatically grant access to another.

4. Customer and User Responsibilities

When using INIQAI products or services, you agree to:

• Use the services only for lawful purposes.
• Provide information that you are authorized to provide or publish.
• Obtain any permissions, notices or consents required for personal data or other materials you submit.
• Keep project, customer and organizational information reasonably accurate where you are responsible for maintaining it.
• Respect access controls, security boundaries and other users' rights.
• Avoid attempting to interfere with, bypass, reverse engineer, misuse or gain unauthorized access to our systems.

Organizations using INIQAI remain responsible for their own business decisions, regulatory obligations, customer communications and information supplied through the platform.

5. Property Information and Publication

Some INIQAI services may allow developers or authorized users to submit, maintain, approve or publish property and project information.

Information may come from developers, documents, public records or other identified sources. The presence of information on an INIQAI service does not by itself mean that INIQAI independently guarantees every underlying statement.

Verification, approval, freshness and source labels should be understood according to the specific checks actually performed. Users should not interpret a platform label as a guarantee of legal title, structural safety, investment return, future completion or another professional certification unless expressly stated.

6. AI-Assisted Features

Some INIQAI services may use artificial intelligence to assist with tasks such as interpreting requirements, retrieving information, drafting explanations, comparing available property information or supporting workflows.

AI-generated responses may contain errors, incomplete information or limitations. Important property, financial, legal, regulatory, engineering or investment decisions should not rely solely on an AI-generated response.

Unless expressly stated otherwise, AI assistance does not replace professional legal, financial, engineering, architectural, valuation or regulatory advice.

7. Buyer Enquiries and Site-Visit Requests

Certain services may allow a buyer to authorize an enquiry or site-visit request to a participating developer.

Submitting an enquiry does not guarantee that the developer will respond, offer a particular property, accept an offer or complete a transaction.

A requested site-visit time should not be treated as a confirmed appointment unless it has been accepted or confirmed through the applicable workflow.

8. Fees, Billing and Taxes

Fees, implementation charges, subscription terms, billing cycles, usage charges, taxes and payment terms are determined by the applicable proposal, order form, invoice or commercial agreement.

Unless otherwise stated in writing, fees already incurred for services delivered, implementation work completed or usage consumed are not automatically refundable.

9. Privacy and Data

Our collection and handling of personal information is also governed by our Privacy Policy.

Different INIQAI services may process different categories of information, including account information, organizational data, property information, buyer enquiries and operational records.

Organizations using INIQAI are responsible for ensuring that information they provide to us has been collected and shared in accordance with applicable law and their own obligations to the relevant individuals.

10. Intellectual Property

INIQAI and its licensors retain all rights in the INIQAI brand, software, product designs, interfaces, documentation, underlying technology and other materials we create, except where a written agreement expressly states otherwise.

Customers and users retain their rights in content, data, documents, trademarks and other materials they lawfully provide to us.

Providing material to an INIQAI service grants us the rights reasonably necessary to host, process, display, transmit or otherwise use that material to provide the applicable service, subject to the relevant permissions, privacy terms and commercial agreement.

11. Third-Party Services

INIQAI may integrate with or rely on third-party services such as cloud infrastructure, identity providers, communication platforms, scheduling services, email providers, AI providers, advertising platforms or other software systems.

Third-party services may have their own terms, privacy policies, availability limits and operational requirements. INIQAI is not responsible for third-party services outside our reasonable control.

12. Service Availability and Changes

We may improve, update, replace or discontinue features as our products evolve.

We do not guarantee uninterrupted or error-free availability of every service unless a separate written agreement expressly provides a specific service commitment.

Maintenance, security incidents, third-party failures, network conditions or other technical events may temporarily affect availability.

13. Suspension and Termination

We may suspend or restrict access where reasonably necessary to address security concerns, suspected misuse, legal requirements, non-payment or material violations of these Terms or an applicable commercial agreement.

Customer cancellation, account termination, data export, retention and outstanding payment obligations may be subject to the applicable product terms or written commercial agreement.

14. Disclaimers and Limitation of Liability

Except where expressly stated in a written agreement and to the maximum extent permitted by applicable law, INIQAI services are provided without implied guarantees that they will always be uninterrupted, error-free or suitable for every business or decision.

To the maximum extent permitted by applicable law, INIQAI will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the services.

Nothing in these Terms excludes or limits rights or liabilities that cannot lawfully be excluded or limited.

15. Governing Law

These Terms are governed by the laws of India. Any applicable jurisdiction or dispute-resolution provisions contained in a separate written agreement will continue to apply to that agreement.

16. Changes to These Terms

We may update these Terms as our products, services or legal requirements change. The updated version will be published on this page with a revised effective date. Where required, we may provide additional notice of material changes.
