These Terms of Service ("Terms") govern your use of services provided by INIQ AI ("we", "us", or "our"), a registered business in Kerala, India. By accessing our website or engaging with our services, you agree to these Terms.

1. Services Overview

INIQ AI provides smart automation solutions, custom software development, and AI-driven web applications tailored for small and medium enterprises (SMEs). Our offerings may include:

• Custom web and software development
• AI-powered workflow solutions
• Consultation and implementation services

We may offer free consultations, product demos, or limited-time trials at our discretion.

2. Client Responsibilities

When using our services, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your account credentials
• Obtain necessary rights for any materials you provide
• Comply with all applicable laws and regulations

You are solely responsible for the content, data, and materials you submit for the development of software or automation tools.

3. Payment Terms

Pricing Plans: We offer:

• Project-Based: One-time payment for defined scope
• Monthly: Recurring subscription services
• Hybrid: Combination of project and ongoing fees

Currency: Payments can be made in INR or USD as specified in your agreement.

Refunds: May be issued at our discretion based on project stage and work completed. To request a cancellation or refund, contact us at support@iniqai.com within 7 days of payment.

4. Project Management

Timelines: Project durations typically range between 2 and 30 business days, depending on scope and complexity. We will provide an estimated timeline during onboarding.

Changes: Any scope changes may affect timelines and pricing. We will notify you of impacts and require written approval before proceeding with changes.

Delays: While we make every effort to meet deadlines, some factors may cause delays. We will communicate proactively about any schedule adjustments.

5. Intellectual Property

Client Rights: Unless otherwise specified in your project agreement, you retain full rights to the final deliverables including software, automation scripts, and websites developed specifically for you.

Our Rights: INIQ AI retains rights to:

• Use generic code, frameworks, and templates for other projects
• List your company as a client in our marketing materials
• Reference non-sensitive aspects of the work in our portfolio

We will never reuse or disclose client-specific logic, proprietary algorithms, or sensitive data without explicit permission.

6. Limitations

Liability: To the maximum extent permitted by law, INIQ AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Warranty: All deliverables are provided "as-is" unless explicitly stated otherwise in a written agreement. We make no warranties about uninterrupted or error-free service.

Indemnification: You agree to indemnify and hold harmless INIQ AI from any claims arising from your misuse of our services or violation of these Terms.

7. Termination

Either party may terminate services with written notice, subject to the following:

• We reserve the right to suspend or terminate services immediately for violations of these Terms, non-payment, or illegal activities
• Clients may terminate services according to the cancellation policy in their agreement
• Upon termination, all outstanding fees become immediately due

We will provide at least 14 days notice for termination of ongoing services, except in cases of Terms violations.

8. General Provisions

Governing Law: These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ernakulam, Kerala.

Changes to Terms: We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the new Terms.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.
